Terms & Conditions of Sale

These Terms and Conditions of Sale govern every sale of equipment or products on AutoVixe.com. As used here, “Seller” means AutoVixe and “Buyer” means the person or entity purchasing products through this website.

1) Application

These Terms define the relationship of Buyer and Seller and apply to all sales of equipment, parts, supplies, materials, or other personal property (collectively, “Equipment”) by Seller to Buyer through this website. These Terms are incorporated into and form part of any related document or communication (the “Agreement”).

2) Quotation Expiration

If any price quotations are provided, they are valid for 10 days unless otherwise noted. Seller may withdraw any quote not accepted within that period.

3) Pricing

Prices and related information on this website may change without notice. Prices generally do not include taxes or government-imposed charges unless expressly stated.

4) Taxes

Buyer is responsible for all taxes and fees levied by governmental authorities in connection with the sale or delivery of Equipment, except Seller’s income taxes.

5) Terms of Payment

Unless otherwise agreed in writing by Seller, the total price is due at the time of purchase without setoff. Unpaid amounts may accrue interest at 1.5% per month or the maximum rate permitted by law (whichever is less). Buyer is responsible for reasonable costs of collection, including attorney fees.

If shipment or delivery is delayed by or at Buyer’s request, Buyer may be charged storage and incidental expenses in addition to any interest on late payments.

6) Security Interest

As security for payment of amounts due, Buyer grants Seller a security interest in all Equipment sold. Seller will have all rights of a secured party under the Uniform Commercial Code. Buyer authorizes Seller to take reasonable actions to perfect the security interest and Buyer will pay applicable filing fees.

7) Limited Warranty — Disclaimer

Seller’s warranty obligations are limited to the manufacturer’s warranty (if any) and to the extent transferable. Buyer’s sole remedy for defects is against the manufacturer under applicable warranty terms.

8) Delivery

Delivery dates are estimates only. Seller will use commercially reasonable efforts to deliver consistent with the reasonable demands of its business. Seller is not liable for delays due to events beyond Seller’s control (including labor disputes, disasters, governmental actions, or carrier delays).

9) Title and Risk of Loss

Title and risk of loss pass to Buyer upon delivery F.O.B. Seller’s facility, Seller’s supplier’s facility (if shipped direct), or as otherwise indicated in the Agreement.

10) Inspection and Acceptance

Buyer has five (5) days from delivery to inspect and notify Seller in writing of defects or nonconformance. Shipping damage/shortage claims must be made in writing within five (5) days of receipt. After this period, Equipment is deemed accepted and Buyer may not revoke acceptance. Claims for shipping damage must be made directly to the freight carrier.

11) Return of Equipment

Seller is not obligated to accept returns. If approved, Buyer must obtain a Return Material Authorization (RMA) before returning any Equipment. Returns must reference the RMA number, original invoice number, and reason for return. Returns may be subject to restocking and transportation charges and other conditions in effect at the time.

12) Cancellation or Termination

If Buyer cancels an order or defaults and does not cure within 30 days after notice, Buyer must pay Seller for direct and indirect costs (including restocking/cancellation charges and manufacturer assessments) plus reasonable profit to be negotiated. Amounts will not exceed the total price payable for the Equipment.

13) Technical Support

Unless stated otherwise, installation, testing, and evaluation services are not included. Seller may provide technical support at Buyer’s expense subject to scheduling. Buyer’s remedy is limited to additional support reasonably required to correct any act or omission.

14) Entire Agreement / Modifications / Waiver

The Agreement contains the entire understanding between Buyer and Seller and can be modified only in writing signed by both parties. No waiver is binding unless in writing. Seller objects to additional or different terms contained in any Buyer documents; delivery acceptance constitutes Buyer agreement to these Terms.

15) Compliance with Laws

Buyer is responsible for compliance with all federal, state, and local laws and regulations regarding safety and use of the Equipment, and will indemnify Seller against claims arising from violations or resulting injury/property damage.

16) Export Control

Equipment may be subject to export laws and regulations. Export authorization (if required) must be obtained prior to delivery. If authorization is denied, Seller is relieved of further obligation without liability.

17) Governing Law

The Agreement is governed by and construed in accordance with the laws of the State of Michigan.

Use of Site

This website is provided for customers to view product information, place orders, and contact us. Any other use is prohibited. You may not post or transmit unlawful, defamatory, harassing, or infringing content, spam, or any content that violates privacy or intellectual property rights.

Site Contents and Ownership

All content on this site (including images, designs, photos, text, and data) is owned by AutoVixe or its licensors and is protected by applicable laws. Permission is granted to display, download, and print portions for personal use related to shopping on this site, provided all proprietary notices remain intact.

Disclaimer of Warranty

This site and its materials are provided on an “AS IS” and “WHERE AVAILABLE” basis. To the fullest extent permitted by law, Seller disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

Limitation of Liabilities

Seller and its providers are not liable for damages arising from possession or use of materials on this site. In no event will Seller be liable for indirect, special, incidental, consequential, or punitive damages, including loss of profits, data, goodwill, or business interruption.

Indemnification

You agree to indemnify and hold harmless AutoVixe, its affiliates, agents, employees, and licensors from any claims and expenses (including attorney fees) arising from your use of the site, violation of these terms, or violation of law or rights of others.

Limitations on Claim

Any cause of action related to your use of this site must be commenced within one (1) year after the claim arises.

Term and Termination

Without limiting other remedies, Seller may suspend or terminate access to this site at any time in its sole discretion.

Links to third-party sites are provided for convenience. AutoVixe is not responsible for linked sites, their content, or transactions conducted there. Visiting linked sites is at your own risk.

Controlling Law, Jurisdiction, and International Users

These Terms are governed by the laws of the State of Michigan. If you access this site from outside the United States, you are responsible for compliance with local laws and you consent to jurisdiction in Michigan courts for disputes.

Entire Agreement & Modifications

These Terms constitute the entire agreement regarding use of this website. We may revise these Terms at any time by posting updated content. Continued use of the site indicates acceptance of the revised Terms.

Electronic Communications & Signatures

You agree that any affirmation, assent, or agreement transmitted through this website is legally binding, including clicking “I agree” or similar buttons, which constitutes the equivalent of a handwritten signature.
